M2 Mavn Terms of Use
**Last updated: July 29, 2026** **Version: 1.0**
These Terms of Use ("Terms") are a binding agreement between you and M2Digital Inc., a company organized under the laws of Ontario, Canada, with a registered address at 995 Brucedale Ave E, Hamilton, Ontario, Canada, L8T 1M6 ("M2Digital", "we", "us", or "our"), governing your access to and use of M2 Mavn, our software-as-a-service platform for trade contractors to manage clients, jobs, estimates, invoices, and payments (the "Service").
By creating an account, accepting these Terms through the Service, or otherwise using the Service, you agree to be bound by these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and the organization.
1. The Service
M2 Mavn provides software that helps trade contractors ("Contractors") manage their own clients, jobs, estimates, invoices, and payments, including a client-facing flow for reviewing and electronically accepting estimates and paying invoices. M2 Mavn is **not** a party to any transaction between a Contractor and that Contractor's clients. We do not perform, supervise, warrant, or take responsibility for the underlying construction, trade, or service work, the accuracy of any estimate or invoice, or any dispute between a Contractor and its clients.
M2 Mavn also operates a separate administrative layer through which we bill Contractors for their subscription to use the Service. That subscription relationship (Section 4) is distinct from, and has no effect on, the payment processing described in Section 3 between a Contractor and its own clients.
2. Accounts, Organizations, and Roles
**2.1 Eligibility.** You must be able to form a binding contract to use the Service and must be using the Service for a legitimate business purpose, not as a consumer.
**2.2 Organizations and roles.** Access to the Service is organized around an "Organization" (a Contractor's business) with users assigned roles (e.g., owner, admin, team member) that determine what they can view or do. You are responsible for:
- the accuracy of the business, client, job, estimate, and invoice
information your Organization enters into the Service;
- all activity that occurs under your Organization's account, including
actions taken by any team member you invite or any user your Organization's admins grant access to; and
- promptly removing access for any user who should no longer have it.
**2.3 Authentication.** Account sign-in is provided through our identity provider. You are responsible for keeping your sign-in credentials confidential and for notifying us promptly of any suspected unauthorized access.
**2.4 Client-facing access.** Your clients may be sent links to review and accept estimates or pay invoices without creating an M2 Mavn account. Those interactions are governed by these Terms to the extent applicable (in particular Section 5, Electronic Signatures, and our Privacy Policy) even though the client is not your Organization's user.
3. Client Payments (Stripe Connect)
**3.1 Separate, per-Organization payment accounts.** Client-facing invoice payments are processed through a Stripe Connect account that Stripe issues to your Organization specifically, not a pooled or M2Digital-owned account. Onboarding to accept payments is subject to Stripe's own agreements (including the Stripe Connected Account Agreement and Stripe's Services Agreement, incorporated by reference), Stripe's underwriting, and applicable card network rules. We are not a party to, and assume no liability for, Stripe's decisions to approve, restrict, or close your Connect account.
**3.2 Fees.** Any processing or platform fee applied to a client's invoice payment is disclosed to you in your Organization's billing/plan settings before it applies, and — consistent with how we handle fee disclosure generally — is never presented to your clients as a separate visible line item; if a fee affects the amount a client is charged, it is reflected in what your client is asked to pay, not shown to them as a distinct "platform fee" or "processing fee" line. You are responsible for ensuring any surcharge you choose to pass through to clients (where you have enabled that option) complies with card network rules and the law in your and your clients' jurisdictions.
**3.3 Payouts, refunds, chargebacks.** Payouts of funds collected on your behalf are made by Stripe to the bank account you connect, on the payout schedule Stripe and/or we make available to you. You are responsible for issuing refunds to your clients when appropriate and for responding to any chargeback or dispute Stripe notifies you of; we may pass through information Stripe provides about a dispute but do not adjudicate disputes between you and your client or between you and Stripe.
4. Your Subscription to the Service
**4.1 Plans and billing.** Access to the Service itself is billed to you (the Contractor) on the subscription plan you select, through Stripe's subscription billing — separately from, and unrelated to, the Stripe Connect payment flow in Section 3. Fees, billing frequency, and any usage/seat limits are as described on your plan at checkout or in your account settings, and may change with notice as described in Section 9.
**4.2 Non-payment.** If a subscription payment fails and is not cured within the dunning period disclosed in your billing settings, we may suspend or downgrade your Organization's access to the Service until payment is resolved. Suspension under this Section does not relieve you of the obligation to pay amounts already due.
**4.3 Feature availability by plan.** Some capabilities of the Service are only available on certain subscription plans, as described on our pricing page or in-app. We may change which capabilities are bundled with which plan on a going-forward basis, without affecting the substantive protections in these Terms.
**4.4 Taxes.** Fees are exclusive of applicable taxes unless stated otherwise; you are responsible for any taxes associated with your subscription other than taxes on our net income.
5. Your Content and Responsibilities
**5.1 Your data.** "Your Content" means the client, job, estimate, invoice, expense, photo, note, and other data you or your Organization's users submit to the Service. You retain ownership of Your Content. You grant us a license to host, process, transmit, and display Your Content solely to provide, maintain, and support the Service (including sending communications you direct through it, such as estimate/invoice emails and reminders).
**5.2 Lawful basis and accuracy.** You represent that you have the right to enter your clients' personal information into the Service and a lawful basis to contact them, including sending automated emails/SMS on your behalf (e.g., estimate links, invoice notices, payment reminders, review requests). You are solely responsible for the accuracy of estimates, invoices, job records, and any representations you make to your clients through the Service.
**5.3 Sensitive data.** Do not enter full payment card numbers, government identification numbers, health information, or other special-category or highly sensitive personal data into free-text fields of the Service (notes, descriptions, etc.). Payment card data is handled directly by Stripe and is never entered into or stored by M2 Mavn.
**5.4 No tax or legal advice.** Any tax rate, tax-inclusive/exclusive setting, surcharge configuration, or similar setting you configure is your own business decision. M2 Mavn does not provide tax, accounting, or legal advice, and is not responsible for the correctness of tax amounts you configure or the sufficiency of any disclosure you make to your clients.
**5.5 Acceptable use.** You will not: use the Service to violate any law; send unsolicited communications in violation of applicable anti-spam law; attempt to bypass plan limits, security controls, or authentication; interfere with the Service's operation (including load-testing or scraping without our written consent); or use the Service to process data on behalf of a client who has not authorized it.
6. Electronic Signatures and Records
When your client reviews and accepts an estimate through the Service's client-facing acceptance flow, that action constitutes an electronic signature under applicable Canadian electronic-commerce law (e.g., Ontario's Electronic Commerce Act, 2000, and equivalent legislation in other provinces). We capture and retain, as evidence of that acceptance: the accepting person's name, email address, IP address, user agent, and timestamp, alongside the exact text of the estimate that was accepted. You may rely on these records as evidence of your client's acceptance, subject to the accuracy of the information your client provided.
7. Third-Party Services
The Service integrates with third-party providers to function, including Stripe (payments), our authentication provider, our transactional email provider, and cloud storage/hosting providers, as described in our Privacy Policy. Your use of the Service is also subject to the applicable terms of those providers where you interact with them directly (in particular, Stripe's own terms for Connect onboarding and card payments). We are not responsible for outages, changes, or errors originating from a third-party provider, though we will make commercially reasonable efforts to keep the Service working with them.
8. Intellectual Property
We and our licensors own all right, title, and interest in the Service, including its software, design, and trademarks, excluding Your Content. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription, subject to these Terms. You grant us no rights in Your Content beyond the license in Section 5.1.
9. Changes to the Service and These Terms
We may modify the Service over time, including adding, changing, or removing features consistent with Section 4.3. We may update these Terms from time to time. If a change is material, we will provide notice (e.g., in-app banner or email) and require re-acceptance before the new version takes effect for you, as reflected in the version history available in your account. Non-material changes (e.g., clarifications, typo fixes) become effective without requiring a fresh acceptance. Continued use of the Service after a required re-acceptance constitutes agreement to the updated Terms.
10. Suspension and Termination
**10.1 By you.** You may stop using the Service and close your account at any time; this does not entitle you to a refund of amounts already due or paid except as required by law or as separately agreed.
**10.2 By us.** We may suspend or terminate your access to the Service, in whole or in part, if: (a) you fail to cure non-payment as described in Section 4.2; (b) you materially breach these Terms and, where curable, fail to cure within a reasonable period after notice; (c) your use poses a security risk to the Service or other users; or (d) required by law or by a third-party provider (e.g., Stripe restricting or closing a Connect account).
**10.3 Effect of termination.** Upon termination, your right to access the Service ends. We will make Your Content available for export for a reasonable period following termination (except where you request deletion, or where retention is legally required, as described in our Privacy Policy), after which it may be deleted in accordance with our data retention practices.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY ESTIMATE, INVOICE, OR TAX CALCULATION GENERATED THROUGH THE SERVICE WILL BE ACCURATE OR SUFFICIENT FOR YOUR PURPOSES.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOST BUSINESS, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. M2DIGITAL'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE (EXCLUDING AMOUNTS PROCESSED THROUGH STRIPE CONNECT ON BEHALF OF YOUR CLIENTS, WHICH WERE NEVER OUR FUNDS) IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW (INCLUDING, WHERE APPLICABLE, LIABILITY FOR FRAUD OR GROSS NEGLIGENCE).
13. Indemnification
You will indemnify and hold M2Digital harmless from third-party claims arising out of: (a) Your Content; (b) your use of the Service in violation of these Terms or applicable law; or (c) a dispute between you and your client relating to an estimate, invoice, or payment. [Confirm mutuality / carve-outs and any cap with counsel.]
14. Governing Law and Disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You and M2Digital agree to submit to the exclusive jurisdiction of the courts located in Hamilton, Ontario, for any dispute arising out of or relating to these Terms or the Service.
15. General
**Entire agreement.** These Terms, together with our Privacy Policy and any plan-specific terms presented at checkout, are the entire agreement between you and us regarding the Service.
**Assignment.** You may not assign these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
**No waiver; severability.** Failure to enforce a provision is not a waiver of it. If a provision is found unenforceable, the remaining provisions remain in effect.
**Notices.** We may provide notices to you via the email address associated with your account or in-app. You may contact us regarding these Terms at [email protected].
**Contact.** Questions about these Terms: [email protected]. General support: [email protected].
